It distinguishes between administrative proceedings under Article 939 of the Swiss Code of Obligations (CO) and judicial proceedings under Article 731b CO, analyzing the respective competences, procedural steps, and legal consequences. Special attention is given to typical deficiencies such as the absence of governing bodies or insufficient accessibility at the registered office—particularly in the context of modern work environments such as co-working spaces or virtual offices. The article provides a nuanced discussion of the duties of cooperation, the handling of third-party reports, and procedural requirements. Recent legislative developments, especially in connection with the Federal Act on Combating Abusive Bankruptcy, are also taken into account. Item type:Publication, Identische Firmen im Handelsregister – Oder die Frage: Können Dritte die Korrektur unerwünschter Eintragungen im Handelsregister erwirken?(2024-05-01)On 18.12.2023, the Federal Administrative Court (FAC) published its ruling B-2228/2021 of 5.12.2023 and a media release on a company law dispute on its website. In the press release, the FAC writes: “The two companies ‘TX Group AG’ were entered in the cantonal commercial registers of St. Gallen and Zurich with a one-day delay. After more than a year, this can no longer be objected to at the Federal Commercial Register Office.” At the heart of this dispute is the question of whether a legal entity can demand the correction of commercial register entries of another legal entity via the commercial register authorities. To begin with, the FAC has dismissed the appeal insofar as it has accepted it. For the time being, the inadmissible situation remains that there are two identical companies in the Swiss commercial register. This article argues that companies that have a dispute regarding the commercial register entry of another company should sensibly resolve their conflict with a civil law action if an amicable solution cannot be reached. On the other hand, an appeal against a SOGC publication, as the judgment of the FAC B-2228/2021 could be understood by analogy, is contrary to the registration procedure under commercial register law. Finally, it should also be mentioned that the ruling of the FAC B-2228/2021 of 5.12.2023, which was sent to the parties to the proceedings on 18.12.2023, was not yet legally binding at the time of going to press. An appeal against the ruling of the FAC B-2228/2021 could therefore still be lodged with the Federal Supreme Court in civil matters. The focus is on the discrepancy between the nationwide recognition of public deeds and practical hurdles in land registry law, as well as the legal innovations under Art. 634 para. 3 CO. Practical solutions are presented to rectify defective incorporations, emphasizing the critical role of notaries in preventing errors and ensuring legal certainty. Item type:Publication, Anwaltsgesellschaften und die Beteiligung anwaltsfremder Fachpersonen - Die Multidisciplinary (Non-)Partnership aus anwalts- und sozialversicherungsrechtlicher Sichtverlangt, dass das Aktionariat und der Verwaltungsrat einer Anwaltsgesellschaft nur aus Personen zusammengesetzt sind, die in einem kantonalen Anwaltsregister eingetragen sind. Damit stellt sich die Frage, wie anwaltsfremde Fachpersonen an Anwaltskanzleien beteiligt werden können, damit ihre Tätigkeit ebenfalls attraktiv ist. Dieser Beitrag zeigt betriebswirtschaftliche, berufsrechtliche und sozialversicherungsrechtliche Aspekte der Zusammenarbeit von Anwälten mit Nichtanwälten auf.
