Abstract
Two main developments have fostered the discussion on Corporate Governance and Corporate Responsibility. On one hand the call for stakeholder management, asking corporations to take stakeholder claims into account in their decision-making. On the other hand the big scandals of the beginning of the century (Enron, Worldcom, Parmalat) increased the awareness of society on the importance of governing organizations responsibly. Whereas there have been numerous recommendations (Cadbury, King, OECD, German Code of Corporate Governance), new laws (Sarbanes-Oxley Act) and academic theorizing few empirical studies could be identified looking on how corporations integrate corporate responsibility issues within their governance structures. This paper addresses this gap by analyzing data provided by the Business-in-the-Community Corporate Responsibility Index (CRI), where numerous corporations have reported on their governance mechanisms related to corporate responsibility since the year 2002. Results show the development of governance structures related to corporate responsibility over the years and enable to relate performance in the CRI to different governance approaches.
