Abstract
The immense information overload nowadays seems to hinder an effective communication procedure more than to facilitate it. If one additionally considers the influence of an inherent limited availability of time, it perceives to be quite demanding to apply Occam's razor.
Boards of directors face these challenges in particular. Consequently, boards need to find an appropriate communication strategy in order to making the most out of their board meeting time.
This paper explores how boards might optimise their agenda setting so as to center their attention on information quality instead of information plurality, which in turn could resurrect critical reflection within the boardroom. The paper is organized into five chapters. Subsequent to the introduction, chapter two provides a theoretical background including an overview of the characteristics of the Swiss board system and the interdependent key roles of boards of directors. The third chapter discusses major challenges of board communication, namely time restrictions and information quality issues. Chapter four provides suggestions for alternative agenda settings, both for inside and outside boardroom levels. Finally, chapter five ends with concluding remarks.
