Abstract
This contribution examines the interface between cryptocurrencies and notarial practice from an interdisciplinary perspective covering contract law, corporate law, and estate planning. Starting from the civil-law qualification of cryptocurrencies as intangible, factual assets – rather than legal tender within the meaning of the Swiss Currency and Payment Means Act – the article traces the regulatory developments from the DLT framework legislation through to the consultation draft amending the Financial Institutions Act of 22 October 2025. Under contract law, the «crypto purchase» is classified as a barter agreement pursuant to Art. 237 CO, with particular attention to the determinacy of consideration, allocation of risk, and warranties, notably in real-estate transactions paid in Bitcoin. In corporate law, the article demonstrates that the payment-up of share capital with cryptocurrencies is admissible only through contribution in kind (Art. 634 CO) or set-off liberation (Art. 634a CO); the requirements of capitalisation, transferability, availability, and realisability are addressed, alongside the mandatory inclusion of safety margins to prevent a de facto sub-par issue. With respect to estate planning, the contribution discusses advance-care mandates, matrimonial-property and succession-law dissolutions, securing factual access to private keys, and a pragmatic proposal for the judicial valuation of volatile crypto assets. Insolvency-law dimensions (Art. 242a DEBA, the «Lykke» case) and tax-law fundamentals complete the analysis, which concludes with concrete practical recommendations on due diligence, volatility protection, risk transfer, and the notary's duty to inform.
Abstract (De)
Der Beitrag analysiert die Schnittstelle zwischen Kryptowährungen und notarieller Praxis aus einer interdisziplinären Perspektive, die Vertragsrecht, Gesellschaftsrecht und Vermögensplanung umfasst. Ausgehend von der zivilrechtlichen Qualifikation von Kryptowährungen als immaterielle, faktische Vermögenswerte – und nicht als gesetzliche Zahlungsmittel im Sinne des WZG – werden die regulatorischen Entwicklungen vom DLT-Mantelerlass bis zum Vernehmlassungsentwurf zur FINIG-Revision vom 22. Oktober 2025 nachgezeichnet. Im Vertragsrecht wird der «Krypto-Kauf» als Tauschvertrag nach Art. 237 OR eingeordnet, mit besonderer Aufmerksamkeit für Bestimmtheit, Gefahrtragung und Gewährleistung, namentlich bei Grundstücksgeschäften gegen Bitcoin. Im Gesellschaftsrecht wird aufgezeigt, dass die Liberierung des Aktienkapitals mittels Kryptowährungen nur über Sacheinlage (Art. 634 OR) oder Verrechnungsliberierung (Art. 634a OR) zulässig ist, und es werden die Voraussetzungen der Aktivierbarkeit, Übertragbarkeit, Verfügbarkeit und Verwertbarkeit sowie die zwingende Einplanung von Sicherheitsmargen zur Vermeidung einer faktischen Unter-pari-Emission konkretisiert. Im Bereich der Vermögensplanung werden Vorsorgeauftrag, ehegüter- und erbrechtliche Auseinandersetzung, Sicherung des faktischen Zugriffs auf «Private Keys» sowie ein pragmatischer Vorschlag zur gerichtlichen Wertermittlung volatiler Kryptowerte entwickelt. Ergänzend werden insolvenzrechtliche Aspekte (Art. 242a SchKG, Risiko der Rehypothecation, Fall «Lykke») und steuerrechtliche Grundlinien dargestellt. Der Beitrag schliesst mit konkreten Praxisempfehlungen zu Due Diligence, Volatilitätsschutz, Gefahrübergang und Aufklärungspflichten der Urkundsperson.

La présente contribution examine l'interface entre les cryptomonnaies et la pratique notariale sous l'angle du droit des contrats, du droit des sociétés et de la planification patrimoniale. Partant de la qualification civile des cryptomonnaies comme valeurs patrimoniales immatérielles et factuelles – et non comme moyens de paiement légaux au sens de la LUMMP –, l'auteur retrace les développements réglementaires, du train d'ordonnances TRD jusqu'à l'avant-projet de révision de la LEFin mis en consultation le 22 octobre 2025. En droit des contrats, l'achat contre cryptomonnaie est qualifié de contrat d'échange au sens de l'art. 237 CO; les enjeux de détermination de la prestation, de transfert des risques et de garantie sont analysés, notamment dans le cadre de transactions immobilières contre Bitcoin. En droit des sociétés, l'auteur démontre que la libération du capital-actions au moyen de cryptomonnaies n'est admissible que par apport en nature (art. 634 CO) ou par compensation (art. 634a CO); les conditions d'activation, de transmissibilité, de disponibilité et de réalisabilité sont précisées, de même que la nécessité de marges de sécurité afin d'éviter une émission de fait au-dessous du pair. Concernant la planification patrimoniale, sont abordés le mandat pour cause d'inaptitude, la liquidation du régime matrimonial, le droit successoral, la sécurisation de l'accès aux clés privées ainsi qu'une proposition pragmatique d'évaluation judiciaire d'actifs volatils. Le droit de l'exécution forcée (art. 242a LP, cas «Lykke») et les aspects fiscaux complètent l'analyse, qui se conclut par des recommandations pratiques concrètes à l'attention de l'officier public.
